Item 8.01 Other Events.

 

On February 11, 2019, Origami Capital Partners, LLC (“Origami”) issued a press release that included a non-binding indication of interest (the “Origami SBIC Indication of Interest”) for an acquisition of Medley Capital Corporation’s (the “Company”) wholly-owned subsidiary, Medley SBIC LP, a Delaware limited partnership (the “SBIC Subsidiary”). The Origami SBIC Indication of Interest contemplated a cash purchase of the SBIC Subsidiary for $45 million. The Origami SBIC Indication of Interest was non-binding and subject to conditions, including due diligence review. The MCC Special Committee and the Board of Directors of the Company, consistent with their fiduciary duties and in consultation with their independent legal and financial advisors, are carefully reviewing the letter and will respond to Origami as appropriate.

 

This supplemental information should be read in conjunction with the Definitive Proxy Statement, which should be read in its entirety. Defined terms used but not defined herein have the meanings set forth in the Definitive Proxy Statement. Without admitting in any way that the disclosures below are material or otherwise required by law, the Company has investigated this statement and Sierra Income Corporation (“Sierra”), the Company and Medley Management Inc. (“MDLY”) make the following supplemental disclosures:

 

Contrary to Origami’s public statements, the Company never received a proposal to buy the SBIC Subsidiary from Origami until yesterday.

 

Origami did not propose to buy the equity of the SBIC Subsidiary for 60% of its fair market value or at any price last April as suggested by Origami’s press release.

 

The SBIC Subsidiary represents less than 11% of the Company’s assets as of December 31, 2018.

 

The SBIC Subsidiary has very favorable financing from the Small Business Administration that is of significant benefit to the Company and its stockholders.1

 

Management has referred Origami’s non-binding letter of intent to the independent committee for due consideration by the independent committee and its independent advisors.
